DROGNOSTICS TERMS OF SERVICE

These Terms of Service (“Terms”) constitute a legally binding agreement between DroMetrics LLC, a Florida limited liability company (“DroMetrics,” “we,” “us,” or “our”), and the individual or entity that accesses, purchases, or uses DroGnostics (“Customer,” “you,” or “your”).
DroGnostics is a software-based HVAC service-call workflow, diagnostic-support, documentation, and reporting platform offered by DroMetrics.
By creating an account, clicking an acceptance box, purchasing a subscription, inviting users, or accessing or using DroGnostics, you agree to these Terms and acknowledge our Privacy Policy.
If you use DroGnostics on behalf of a company, contractor, employer, or other organization, you represent and warrant that you have authority to bind that organization to these Terms. In that case, “Customer,” “you,” and “your” refer to that organization.
If you do not agree to these Terms, do not access or use DroGnostics.
1. ELIGIBILITY AND BUSINESS USE
You must be at least eighteen years old and legally capable of entering into a binding agreement to use DroGnostics.
DroGnostics is intended primarily for use by HVAC service companies, contractors, technicians, service managers, and other qualified commercial users. It is not intended for unsupervised consumer repair activity or use by individuals who lack the training, qualifications, licensing, supervision, or authorization required for the work being performed.
You are responsible for ensuring that each person using your account is properly trained, qualified, supervised, and authorized to perform the applicable work.
2. THE DROGNOSTICS SERVICE
DroGnostics may provide features including:
structured service-call intake;
equipment and nameplate-data capture;
manual and AI-assisted data entry;
field-reading organization;
diagnostic-support logic;
AI-assisted review and suggested next checks;
OEM or third-party resource links;
service notes and recommendations;
customer acknowledgment and signature capture;
AI-assisted report preparation;
downloadable or shareable service reports; and
related account, administrative, and workflow features.
Specific features depend on the subscription plan purchased and may change over time.
DroMetrics may improve, modify, add, remove, replace, or discontinue features when reasonably necessary for product development, security, compliance, third-party availability, or business operations. We will not materially reduce the core paid functionality of an active subscription without reasonable notice, except when immediate action is required for security, legal compliance, or third-party service availability.
3. DECISION-SUPPORT TOOL; TECHNICIAN RESPONSIBILITY
DroGnostics is a workflow, informational, diagnostic-support, and documentation tool.
DroGnostics does not replace:
qualified technician judgment;
physical inspection and testing;
properly calibrated instruments;
manufacturer instructions;
equipment manuals;
engineering review;
applicable codes and standards;
licensing requirements;
refrigerant-handling requirements;
lockout/tagout procedures;
electrical-safety practices;
personal protective equipment;
combustion-safety procedures;
workplace policies; or
supervision by a qualified employer or contractor.
DroGnostics does not inspect equipment, observe actual site conditions, verify user-entered information, or independently confirm that a diagnosis, repair, recommendation, or procedure is correct or safe.
All results, suggestions, likely causes, next checks, summaries, and reports must be independently reviewed and confirmed by a qualified technician before being relied upon, presented to a customer, used to authorize work, or included in a final service record.
The servicing technician and Customer remain solely responsible for:
site safety;
diagnosis;
testing;
repairs;
recommendations;
equipment operation;
code compliance;
regulatory compliance;
customer communications;
work authorization;
pricing;
warranties;
service outcomes; and
determining when work should stop or be escalated.
4. AI-GENERATED AND AUTOMATED CONTENT
Certain DroGnostics features may use artificial intelligence, machine learning, automated rules, optical recognition, or third-party AI services.
Automated content may include:
suggested equipment information;
extracted nameplate values;
possible causes;
suggested tests;
missing-data alerts;
safety reminders;
repair-note drafts;
customer-facing summaries; and
report language.
AI-generated and automated content may be incomplete, inaccurate, outdated, inconsistent, or inappropriate for the equipment or conditions involved.
You must not treat AI-generated content as:
a confirmed diagnosis;
a safety certification;
engineering approval;
manufacturer authorization;
code approval;
legal advice;
a guaranteed repair procedure; or
a substitute for qualified professional judgment.
You must verify all extracted nameplate data, measurements, units, electrical characteristics, refrigerant information, model information, safety-related information, and proposed next steps before use.
DroMetrics does not guarantee that AI-generated content will identify every defect, unsafe condition, code issue, likely cause, missing measurement, or appropriate next action.
5. SAFETY REQUIREMENTS
You agree that you and your authorized users will:
follow all applicable safety laws, codes, regulations, manufacturer requirements, and employer policies;
use proper lockout/tagout procedures, personal protective equipment, test instruments, and safe work practices;
independently verify voltage, current, pressure, temperature, refrigerant, combustion, airflow, flow, control, and other field conditions;
stop work and seek qualified assistance when conditions are unsafe, uncertain, outside the technician’s qualifications, or inconsistent with available documentation;
never use DroGnostics to bypass, defeat, disable, override, or circumvent a safety device, protective control, code requirement, alarm, interlock, or manufacturer-required procedure; and
never rely solely on DroGnostics where a mistake could reasonably result in death, personal injury, fire, explosion, refrigerant release, electrical shock, property damage, environmental harm, or equipment failure.
DroMetrics may suspend or terminate access when it reasonably believes DroGnostics is being used in an unsafe, unlawful, abusive, or unauthorized manner.
6. ACCOUNTS AND AUTHORIZED USERS
You must provide accurate, current, and complete account information.
You are responsible for:
maintaining the confidentiality of usernames, passwords, and access credentials;
all activity conducted through your account;
assigning access only to authorized users;
promptly removing users who are no longer authorized;
maintaining accurate contact and billing information; and
notifying DroMetrics promptly of suspected unauthorized access or security incidents.
Accounts and login credentials may not be shared beyond the number of users or technician seats included in your subscription.
You must notify us promptly at support@drometrics.com if you suspect that an account has been compromised.
DroMetrics is not responsible for losses arising from unauthorized access caused by Customer’s failure to protect credentials, manage users, or follow reasonable security practices.
7. SUBSCRIPTION PLANS
DroGnostics may be offered through plans including DroGnostics Core, DroGnostics Pro, trials, promotional plans, or other plans described on the applicable order or pricing page.
Each plan may specify:
subscription price;
billing frequency;
number of authorized users or technician seats;
included features;
included AI service-call credits;
usage limitations;
storage limitations;
support level; and
other plan-specific conditions.
The subscription plan selected at checkout, together with these Terms, forms the agreement between Customer and DroMetrics.
If an order form, proposal, or written enterprise agreement signed by DroMetrics conflicts with these Terms, the signed order form or enterprise agreement controls only with respect to the conflicting provision.
8. AI SERVICE-CALL CREDITS
If your plan includes AI service-call credits, the applicable pricing or order page will state the number of credits included during each billing period.
Unless otherwise stated in writing:
one AI service-call credit covers eligible uses of AI Scan, AI Assist, and AI Report within the same qualifying job or service-call session;
credits are assigned to the Customer account and may be used only by authorized users;
unused credits expire at the end of each billing period;
credits have no cash value;
credits are nontransferable outside the Customer account;
additional credits may not be purchased;
overage usage is not permitted; and
DroMetrics may use reasonable technical measures to prevent duplicate, abusive, fraudulent, or unintended credit consumption.
DroMetrics will determine, acting reasonably, whether activity constitutes one service-call session or multiple service-call sessions.
9. FEES AND PAYMENT
You agree to pay all fees shown at checkout, on the pricing page, in an order form, or in another written agreement.
Current pricing is available at https://drometrics.com/drognostics/signup.php.
Payments are processed through Stripe. DroMetrics may not directly receive or store complete payment-card information.
You authorize DroMetrics and its payment processor to charge the payment method provided for:
subscription fees;
applicable taxes;
approved usage or overage charges;
additional seats;
additional credits; and
other amounts expressly authorized by you.
Except where required by law or expressly stated otherwise, fees are quoted in United States dollars and are nonrefundable.
You are responsible for keeping your payment information current.
If payment fails, DroMetrics may:
retry the payment method;
notify you of the failed payment;
restrict paid functionality;
suspend access; or
terminate the subscription after a reasonable opportunity to cure.
You remain responsible for unpaid amounts incurred before suspension or termination.
10. AUTOMATIC RENEWAL
Unless stated otherwise at checkout or in an applicable order form, subscriptions automatically renew for successive periods equal to the original subscription term.
For example, a monthly subscription renews monthly until canceled.
By purchasing a recurring subscription, you expressly authorize DroMetrics and its payment processor to charge the applicable recurring subscription fee, plus applicable taxes and authorized charges, to your selected payment method at the beginning of each renewal period.
Before purchase, DroMetrics will disclose the applicable:
price;
billing frequency;
automatic-renewal terms;
included features or usage;
cancellation method; and
material limitations.
You may cancel as described in Section 11.
11. CANCELLATION
You may cancel your subscription through:
the account-management or billing area at https://drometrics.com/drognostics/billing.php;
written notice to ar@drometrics.com; or
another cancellation method expressly provided by DroMetrics.
Cancellation prevents future renewal charges but does not ordinarily generate a refund for the current billing period.
Unless otherwise stated, access remains available through the end of the paid billing period.
Cancellation requests must be submitted before the next renewal charge to avoid renewal.
DroMetrics will not require you to purchase another product, speak with a sales representative, or provide a reason as a condition of cancellation.
You are responsible for downloading or exporting Customer Data and reports before access ends, subject to Section 20.
12. REFUNDS
Subscription fees are nonrefundable except:
where required by applicable law;
where DroMetrics expressly agrees in writing;
where a specific refund policy is stated at checkout; or
under the following policy: No refunds after purchase.
DroMetrics may issue credits, refunds, or billing adjustments at its discretion. Doing so in one instance does not create an obligation to do so in another.
13. PRICE CHANGES
DroMetrics may change subscription prices, credit allowances, seat limits, or plan terms upon advance notice.
Price changes will apply no earlier than the next renewal period following the effective date stated in the notice, unless:
you agree to the change earlier;
the change results from taxes or government charges;
the change concerns optional additional purchases; or
immediate action is legally required.
If you do not agree with a price change, your remedy is to cancel before the changed price takes effect.
14. TAXES
Fees do not include sales, use, excise, value-added, or similar taxes unless expressly stated.
You are responsible for applicable taxes associated with your purchase or use of DroGnostics, excluding taxes based on DroMetrics’ net income.
DroMetrics or its payment processor may calculate and collect taxes where legally required.
If Customer claims tax-exempt status, Customer must provide valid and current exemption documentation acceptable to DroMetrics before the applicable charge.
15. CUSTOMER DATA
“Customer Data” means information submitted, uploaded, entered, captured, generated, or stored through Customer’s use of DroGnostics, including:
company information;
technician information;
customer information;
service addresses;
equipment data;
photographs;
nameplate images;
measurements;
readings;
service notes;
diagnostic observations;
recommendations;
signatures;
acknowledgments; and
completed reports.
As between Customer and DroMetrics, Customer retains ownership of Customer Data, subject to the rights granted in these Terms.
Customer grants DroMetrics a nonexclusive, worldwide, limited license to host, copy, process, transmit, display, format, analyze, and otherwise use Customer Data solely as reasonably necessary to:
provide DroGnostics;
generate requested outputs and reports;
provide support;
maintain security;
prevent misuse;
comply with law;
enforce these Terms; and
improve the service as permitted by the Privacy Policy.
You represent and warrant that you have all rights, permissions, notices, and lawful bases necessary to collect and submit Customer Data to DroGnostics.
16. PERSONAL INFORMATION AND PRIVACY
Our collection and use of personal information are described in the DroGnostics Privacy Policy available at:

You are responsible for providing legally required notices and obtaining legally required consent from your employees, technicians, customers, occupants, and other individuals whose information you submit.
You must not submit personal information that is unnecessary for the service call.
You must not submit:
Social Security numbers;
financial-account credentials;
full payment-card numbers;
medical information;
biometric identifiers, except a customer signature as specifically supported;
government identification numbers;
passwords;
highly sensitive personal information; or
information whose collection or disclosure would violate law.
17. CUSTOMER SIGNATURES AND ACKNOWLEDGMENTS
DroGnostics may allow a technician to collect a customer signature or acknowledgment.
Customer is solely responsible for determining:
what the signature means;
whether the signer is authorized;
whether the language presented to the signer is accurate;
whether the signature authorizes work, acknowledges findings, declines work, approves pricing, or serves another purpose; and
whether additional legal requirements apply.
Unless the report or signature statement expressly provides otherwise, a signature captured through DroGnostics is intended only to acknowledge receipt of the identified service findings or recommendations.
DroMetrics does not determine whether a captured signature creates an enforceable work authorization, contract, waiver, approval, or payment obligation.
Customer must review and approve the signature language used in its business.
Customer must not use DroGnostics to obtain a misleading, involuntary, unauthorized, or legally prohibited signature.
18. CUSTOMER REPORTS
Reports generated through DroGnostics may contain:
Customer Data;
technician-entered information;
automated calculations;
AI-generated language;
suggested findings;
technician-confirmed conclusions; and
customer acknowledgments.
Customer and the servicing technician must review every report before delivery, reliance, storage as a final record, or presentation to a customer.
Customer is responsible for correcting inaccuracies and confirming that the final report accurately reflects:
the equipment;
the observed conditions;
the measurements;
the work performed;
the findings;
the recommendations;
the customer communication; and
the technician’s professional judgment.
DroMetrics is not the contractor of record, servicing contractor, engineer of record, equipment manufacturer, approving authority, or authorizing customer for work documented through DroGnostics.
19. DATA SENT TO THIRD-PARTY AI PROVIDERS
To provide AI-assisted features, DroMetrics may transmit limited Customer Data to third-party AI, cloud, image-processing, or infrastructure providers.
The categories of data transmitted and the purposes of processing are described in the Privacy Policy.
DroMetrics will configure third-party services using commercially reasonable privacy and security settings available under the applicable service agreement.
Customer acknowledges that AI-assisted features may depend on third-party providers whose services, terms, availability, security practices, retention practices, and geographic processing locations may change.

The following data-training policy applies:
Customer Data is not used by DroMetrics or its contracted AI providers to train publicly available AI models; or
Customer Data may be used as described in the Privacy Policy for service improvement and model-related purposes; or
Customer Data is not used by DroMetrics or its contracted AI providers to train publicly available AI models.
20. DATA RETENTION, EXPORT, AND DELETION
During an active subscription, Customer may access and export Customer Data through available product features.
After cancellation or termination:
account access continues until the end of the paid term;
Customer Data remains available for export for 30 days;
Customer Data may then be deleted or anonymized;
Namecheap-managed shared-hosting AutoBackup/cPanel backups may retain residual backup copies for up to 6 months and expire automatically according to Namecheap’s backup schedule; and
certain records may be retained as reasonably necessary for legal, security, fraud-prevention, tax, accounting, or contractual purposes.
Customer is responsible for maintaining its own copies of reports and records required for its business, insurance, warranty, licensing, regulatory, tax, or legal obligations.
DroGnostics is not intended to serve as Customer’s exclusive permanent record-retention system.

21. CONFIDENTIALITY
Each party may receive nonpublic information from the other party that is marked confidential or that reasonably should be understood to be confidential.
Confidential Information does not include information that:
is publicly available through no breach of these Terms;
was lawfully known without confidentiality obligations;
is received lawfully from a third party without confidentiality obligations; or
is independently developed without use of the other party’s Confidential Information.
Each party will:
use the other party’s Confidential Information only for purposes of the relationship;
protect it using reasonable care; and
disclose it only to personnel and service providers who need access and are subject to appropriate obligations.
A party may disclose Confidential Information when legally required, provided it gives notice when legally permitted.
22. DROPMETRICS INTELLECTUAL PROPERTY
DroMetrics and its licensors retain all right, title, and interest in and to:
DroGnostics;
software;
source code;
object code;
databases;
diagnostic logic;
algorithms;
prompts;
workflows;
templates;
interfaces;
designs;
graphics;
reports and report layouts;
documentation;
trademarks;
logos;
trade secrets;
improvements; and
all related intellectual-property rights.
Except for the limited right to use DroGnostics under these Terms, no rights are transferred to Customer.
You may not:
copy, reproduce, resell, sublicense, rent, lease, distribute, or commercially exploit DroGnostics;
reverse engineer, decompile, disassemble, or attempt to discover source code;
extract or replicate diagnostic logic, prompts, workflows, data structures, or report-generation methods;
use automated means to scrape or harvest content;
bypass usage limits, access controls, or security measures;
build a competing product using DroGnostics confidential or proprietary elements;
remove ownership notices;
use DroGnostics trademarks without permission; or
permit another person to do any of the foregoing.
23. FEEDBACK
If you provide suggestions, ideas, corrections, feature requests, or other feedback, you grant DroMetrics a perpetual, irrevocable, worldwide, royalty-free right to use, modify, incorporate, commercialize, and otherwise exploit that feedback without restriction or compensation.
This section does not transfer ownership of Customer Data.
24. THIRD-PARTY MATERIALS AND OEM REFERENCES
DroGnostics may display or link to third-party websites, manuals, documentation, products, trademarks, or resources.
Third-party materials are provided for convenience and informational purposes only.
DroMetrics does not control and is not responsible for:
third-party accuracy;
current revision status;
availability;
safety;
completeness;
licensing;
content; or
privacy and security practices.
You must verify that any manual, technical document, or procedure applies to the exact equipment model and revision involved.
Manufacturer names, trademarks, and documentation remain the property of their respective owners. References do not imply affiliation, sponsorship, endorsement, dealership, certification, or approval unless expressly stated.
25. ACCEPTABLE USE
You may not use DroGnostics:
unlawfully;
fraudulently;
deceptively;
to impersonate another person;
to falsify a service record;
to fabricate measurements or signatures;
to conceal unsafe conditions;
to misrepresent technician qualifications;
to bypass safety requirements;
to perform unauthorized work;
to infringe intellectual-property or privacy rights;
to distribute malware or harmful code;
to probe or disrupt platform security;
to gain unauthorized access;
to overload the service;
to resell access without written authorization;
to train or develop a competing system through systematic extraction;
to submit content you do not have the right to use; or
in any manner that creates unreasonable risk to people, property, equipment, or the environment.
DroMetrics may investigate suspected violations and cooperate with lawful requests from authorities.
26. SERVICE AVAILABILITY
DroMetrics will use commercially reasonable efforts to maintain availability but does not guarantee uninterrupted or error-free operation.
DroGnostics may be unavailable because of:
maintenance;
upgrades;
outages;
cybersecurity events;
internet or hosting failures;
payment-provider failures;
AI-provider failures;
telecommunications failures;
force majeure events; or
circumstances outside DroMetrics’ reasonable control.
You are responsible for maintaining procedures that allow technicians to continue working safely if DroGnostics is unavailable.
DroGnostics must not be used as the sole method for accessing information required for immediate safety, emergency response, or critical equipment operation.
27. BETA AND PREVIEW FEATURES
DroMetrics may offer beta, pilot, experimental, preview, or early-access features.
Such features may be incomplete, unstable, inaccurate, or discontinued without notice.
Beta and preview features are provided “as is” and may be subject to additional conditions.
You use beta and preview features at your own risk and must not rely on them for critical or safety-sensitive decisions.
28. SUPPORT

Response times are targets only unless a separate written service-level agreement applies.
DroMetrics is not an emergency HVAC support service and does not provide emergency dispatch, field supervision, engineering approval, or real-time safety response.
29. SUSPENSION
DroMetrics may suspend access when reasonably necessary to:
prevent security threats;
investigate misuse;
protect users or third parties;
address unpaid fees;
comply with law;
prevent damage to the platform;
enforce plan limits; or
respond to a material breach.
Where reasonable, DroMetrics will provide notice and an opportunity to cure before suspension. Immediate suspension may occur when delay would create legal, financial, security, safety, or operational risk.
30. TERMINATION
Customer may terminate by canceling the subscription under Section 11.
DroMetrics may terminate these Terms or an account if:
Customer materially breaches these Terms;
Customer fails to pay amounts due;
Customer uses DroGnostics unlawfully or unsafely;
Customer infringes DroMetrics’ rights;
Customer creates security or reputational risk;
continued service becomes unlawful;
a required third-party service becomes unavailable; or
DroMetrics discontinues the service.
When practical, DroMetrics will provide notice and a reasonable opportunity to cure a curable breach.
Sections that by their nature should survive termination will survive, including provisions concerning fees, ownership, confidentiality, disclaimers, indemnification, liability limitations, dispute resolution, and general terms.
31. CUSTOMER WARRANTIES
Customer represents and warrants that:
it has authority to enter into these Terms;
account information is accurate;
authorized users are properly trained and supervised;
Customer has lawful rights to Customer Data;
Customer will obtain required permissions and notices;
Customer will comply with applicable laws and regulations;
Customer will independently verify automated results;
Customer will not use DroGnostics as a substitute for required professional judgment; and
Customer will not make false or misleading representations about DroGnostics.
32. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DROGNOSTICS AND ALL RELATED SERVICES, CONTENT, OUTPUTS, REPORTS, SUGGESTIONS, LINKS, AND FEATURES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
DROPMETRICS DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF:
MERCHANTABILITY;
FITNESS FOR A PARTICULAR PURPOSE;
TITLE;
NON-INFRINGEMENT;
ACCURACY;
COMPLETENESS;
RELIABILITY;
AVAILABILITY;
SECURITY;
ERROR-FREE OPERATION; AND
RESULTS.
DROPMETRICS DOES NOT WARRANT THAT:
DROGNOSTICS WILL IDENTIFY THE CORRECT DIAGNOSIS;
ANY SUGGESTED CHECK OR REPAIR WILL BE APPROPRIATE;
AI OUTPUT WILL BE ACCURATE;
EXTRACTED DATA WILL BE CORRECT;
EVERY UNSAFE CONDITION WILL BE IDENTIFIED;
REPORTS WILL SATISFY CUSTOMER, LEGAL, WARRANTY, CODE, INSURANCE, OR REGULATORY REQUIREMENTS;
USE WILL PREVENT CALLBACKS, DAMAGE, LOSSES, OR INJURIES;
USE WILL IMPROVE TECHNICIAN PERFORMANCE;
USE WILL SAVE A PARTICULAR AMOUNT OF TIME OR MONEY; OR
THE SERVICE WILL BE UNINTERRUPTED OR ERROR FREE.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS. IN THOSE JURISDICTIONS, DISCLAIMERS APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.
33. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DROPMETRICS AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING:
LOST PROFITS;
LOST REVENUE;
LOST BUSINESS;
LOSS OF GOODWILL;
LOST OR CORRUPTED DATA;
SERVICE INTERRUPTION;
CALLBACK COSTS;
REWORK;
CUSTOMER CLAIMS;
EQUIPMENT DAMAGE;
PROPERTY DAMAGE;
ENVIRONMENTAL RELEASE;
BUSINESS INTERRUPTION; OR
COST OF SUBSTITUTE SERVICES,
ARISING OUT OF OR RELATED TO DROGNOSTICS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DROPMETRICS’ TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR DROGNOSTICS WILL NOT EXCEED:
THE FEES PAID BY CUSTOMER TO DROPMETRICS DURING THE THREE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
THE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY, INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, WARRANTY, OR STATUTE.
THE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED.
34. INDEMNIFICATION
Customer will defend, indemnify, and hold harmless DroMetrics and its owners, officers, employees, contractors, affiliates, licensors, and service providers from claims, demands, proceedings, losses, liabilities, damages, judgments, penalties, costs, and reasonable attorneys’ fees arising out of or relating to:
Customer’s use or misuse of DroGnostics;
work performed or recommended by Customer or its technicians;
injury, death, equipment damage, property damage, or environmental harm connected with Customer’s service activities;
Customer Data;
inaccurate, incomplete, fabricated, or unauthorized information;
Customer reports or customer communications;
signatures, approvals, or authorizations collected by Customer;
Customer’s violation of law, code, licensing, or safety requirements;
Customer’s breach of these Terms;
Customer’s infringement of third-party rights; or
Customer’s failure to independently verify automated content.
DroMetrics will provide reasonable notice of an indemnified claim and permit Customer to control the defense, provided Customer may not settle a claim in a manner that admits wrongdoing by DroMetrics or imposes obligations on DroMetrics without written consent.
DroMetrics may participate in the defense with counsel of its choice at its own expense.
35. GOVERNING LAW
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
The United Nations Convention on Contracts for the International Sale of Goods does not apply.
36. DISPUTE RESOLUTION
COURTS AND VENUE
Any dispute arising out of or relating to these Terms or DroGnostics must be brought exclusively in the state or federal courts located in Pinellas County, Florida.
Each party consents to the personal jurisdiction and venue of those courts.
EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES, TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANY RIGHT TO A TRIAL BY JURY.
37. INFORMAL DISPUTE PROCESS
Before filing a lawsuit or arbitration, the complaining party must send written notice describing:
the party’s name and contact information;
the account involved;
the facts of the dispute;
the relief requested; and
supporting documentation.

The parties will attempt in good faith to resolve the dispute for at least thirty days after receipt of notice before commencing formal proceedings, except where immediate injunctive relief is reasonably necessary.
38. CLASS-ACTION WAIVER
To the maximum extent permitted by law, disputes must be brought only in an individual capacity and not as a plaintiff, claimant, or class member in any purported class, collective, consolidated, private-attorney-general, or representative proceeding.
39. NOTICES
DroMetrics may provide notices by:
email to the address associated with your account;
notice within DroGnostics;
posting on the applicable website; or
another reasonable electronic method.

You are responsible for maintaining a current email address.
Electronic notices are deemed received when sent, posted, or displayed, unless applicable law requires otherwise.
40. CHANGES TO THESE TERMS
DroMetrics may update these Terms to reflect:
changes to DroGnostics;
legal or regulatory developments;
security requirements;
third-party requirements;
billing changes; or
business practices.
The updated Terms will state a new “Last Updated” date.
For material changes, DroMetrics will provide reasonable notice by email, in-product notice, or another appropriate method.
Material changes will apply prospectively unless immediate application is required by law or necessary to protect security or prevent abuse.
Continued use after the effective date of updated Terms constitutes acceptance, except where applicable law requires additional consent.
41. ELECTRONIC COMMUNICATIONS AND SIGNATURES
You consent to receive agreements, disclosures, notices, invoices, receipts, and other communications electronically.
You agree that clicking an acceptance box, creating an account, submitting an electronic order, or otherwise electronically indicating agreement has the same force and effect as a handwritten signature to the extent permitted by law.
You may retain a copy of these Terms electronically or by printing them.
42. EXPORT AND SANCTIONS COMPLIANCE
You may not use, export, reexport, transfer, or provide access to DroGnostics in violation of United States export-control, sanctions, or trade laws.
You represent that you are not located in, organized under the laws of, or ordinarily resident in a jurisdiction subject to comprehensive United States sanctions and are not a prohibited or restricted party.
43. FORCE MAJEURE
DroMetrics is not liable for delay or failure caused by events beyond its reasonable control, including:
natural disasters;
severe weather;
fire;
flood;
epidemic;
war;
terrorism;
civil unrest;
labor disputes;
utility failures;
internet outages;
cloud-provider outages;
cyberattacks;
government actions;
supply shortages; or
failure of third-party services.
44. ASSIGNMENT
Customer may not assign or transfer these Terms, an account, or subscription without DroMetrics’ prior written consent.
DroMetrics may assign these Terms in connection with:
a merger;
acquisition;
corporate reorganization;
financing;
sale of assets;
sale of the DroGnostics business; or
transfer to an affiliate.
Any prohibited assignment is void.
45. INDEPENDENT PARTIES
The parties are independent contractors.
These Terms do not create a:
partnership;
joint venture;
franchise;
fiduciary relationship;
agency;
employment relationship; or
contractor-subcontractor relationship between DroMetrics and Customer.
DroMetrics does not become the contractor of record, service provider, employer, supervisor, engineer, or licensing authority for Customer’s technicians or service calls.
46. NO THIRD-PARTY BENEFICIARIES
These Terms benefit only the parties and their permitted successors and assigns.
No customer, property owner, equipment owner, employee, technician, occupant, manufacturer, insurer, or other third party is an intended beneficiary.
47. SEVERABILITY
If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain effective.
48. WAIVER
Failure to enforce a provision is not a waiver.
A waiver is effective only if in writing and signed by an authorized representative of the waiving party.
49. HEADINGS
Headings are for convenience only and do not affect interpretation.
50. ENTIRE AGREEMENT
These Terms, the Privacy Policy, the applicable pricing or order page, and any signed order form constitute the entire agreement concerning DroGnostics and supersede prior discussions, representations, and agreements concerning the same subject.
Customer purchase-order terms do not modify these Terms unless expressly accepted in writing by an authorized representative of DroMetrics.

CUSTOMER ACKNOWLEDGMENT
By creating an account, purchasing a subscription, or clicking “I Agree,” Customer acknowledges that:
Customer has read and agrees to these Terms;
DroGnostics is a workflow, diagnostic-support, and documentation tool;
automated and AI-generated results may be incomplete or inaccurate;
qualified technicians must independently verify all results;
Customer remains responsible for safety, diagnosis, repairs, recommendations, compliance, and customer communications;
the subscription automatically renews until canceled, as disclosed at checkout; and
Customer authorizes recurring charges according to the selected subscription plan.
